Agreement to Terms

By downloading, installing, or using Pleadit (“the Software”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Software.

These Terms constitute a legal agreement between you (“User,” “you,” or “your”) and Pleadit LLC (“we,” “us,” or “our”).


Description of Service

Pleadit is desktop software for legal document preparation, including:

  • California court form auto-population
  • Pleading paper creation and editing
  • Case and client information management
  • Evidence organization and exhibit management

Pleadit is an independent software product. It is not affiliated with the California Judicial Council or any court system.


Professional Responsibility Acknowledgment

No Attorney-Client Relationship

Pleadit LLC is not a law firm and does not provide legal services, legal advice, or legal representation. No attorney-client relationship is created between Pleadit LLC and any user by virtue of downloading, installing, using, or paying for the Software.

Form Accuracy and Court Compliance

California Judicial Council forms and local court rules are subject to change. The Software may include forms that are outdated, incomplete, or inapplicable to your jurisdiction or case type. You are solely responsible for verifying that all forms used are the current versions accepted by the applicable court, that all fields are accurately completed, and that all filings comply with applicable court rules, local rules, and standing orders.

Malpractice

YOU ACKNOWLEDGE THAT ALL LEGAL WORK PRODUCT GENERATED USING THE SOFTWARE IS YOUR PROFESSIONAL WORK PRODUCT AND YOUR SOLE PROFESSIONAL RESPONSIBILITY. PLEADIT LLC SHALL HAVE NO LIABILITY FOR MALPRACTICE, PROFESSIONAL NEGLIGENCE, OR ANY CLAIM ARISING FROM YOUR USE OF THE SOFTWARE IN THE COURSE OF LEGAL REPRESENTATION. YOU SHALL NOT SEEK CONTRIBUTION OR INDEMNIFICATION FROM PLEADIT LLC IN CONNECTION WITH ANY MALPRACTICE CLAIM OR BAR COMPLAINT ARISING FROM YOUR USE OF THE SOFTWARE, WHETHER ASSERTED DIRECTLY OR THROUGH ANY THIRD PARTY.


License Grant

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to:

  • Install and use the Software on the number of machines permitted by your subscription plan
  • Use the Software for your professional legal practice

License Restrictions

You may NOT:

  • Share your license key with others outside your subscription limits
  • Reverse engineer, decompile, or disassemble the Software
  • Remove or alter any proprietary notices or labels
  • Use the Software to provide services to third parties (e.g., as a service bureau)
  • Sublicense, rent, lease, or lend the Software
  • Use the Software for any unlawful purpose

Current pricing and plan details are available on our pricing pageComing soon. Each plan specifies the number of machines on which you may activate the Software.


Beta, Trial, and Evaluation Access

The Software is currently in beta and under active development. We may provide access for beta testing, free trials, or evaluation purposes at our sole discretion.

Beta Software Acknowledgment

By using beta versions of the Software, you acknowledge that:

  • Beta software may contain bugs, errors, or incomplete features
  • Features may be added, modified, or removed without notice
  • The Software may not perform as described or intended
  • You should maintain independent backups and not rely solely on beta software for critical work

No Guarantee of Continued Access

Beta, trial, and evaluation access may be revoked at any time, with or without notice, for any reason. We make no guarantee that any feature, including data access or export functionality, will remain available during or after beta, trial, or evaluation periods.

Beta Tester Status

Participation in any beta, trial, or evaluation program does not create any ownership interest, equity interest, partnership, joint venture, or co-developer status in the Software or in Pleadit LLC. Beta testers are users, not contributors to the intellectual property of the Software.


Payment Terms

Billing

Subscriptions are billed in advance (monthly or annually). Payments are processed by Stripe. You authorize us to charge your payment method on file.

Price Changes

We may change subscription prices at any time. We will provide notice of price changes before your next renewal period. Price changes take effect at your next renewal. You may cancel before the new price takes effect.

Refunds

  • Monthly subscriptions: No refunds for partial months
  • Annual subscriptions: Pro-rated refund available within first 30 days
  • After 30 days: No refunds for annual subscriptions

Cancellation and License Termination

You may cancel your subscription at any time through your Stripe billing portal or by contacting support. Your subscription remains active until the end of your current billing period.

Post-Termination Access

After license expiration, the Software is designed to enter a read-only mode intended to allow viewing of your locally stored data. However, read-only mode is provided on an “as is” basis. Technical issues, including software bugs or system incompatibilities, may limit or prevent post-termination data access. We do not guarantee that read-only mode will function or that you will be able to access or export your data after license termination.

Your Backup Responsibility

You are solely responsible for maintaining regular backups of your data according to your own professional best practices.

You may resubscribe at any time to restore full editing access.


Data and Privacy

Local Data Storage

All client data, case information, and documents are stored locally on your computer. We do not have access to this data.

Your Responsibility

You are solely responsible for:

  • Backing up your data regularly
  • Securing your computer and user account
  • Complying with data protection laws applicable to your practice
  • Maintaining client confidentiality

Third-Party Services

The Software may communicate with third-party services for purposes such as payment processing and license validation. These services are subject to their own terms and privacy policies. Pleadit LLC is not responsible for the availability, performance, or data handling practices of any third-party service.

Data Loss

We are not responsible for data loss due to hardware failure, software bugs, user error, failure to maintain backups, or any other cause. We strongly recommend using the built-in backup feature regularly.


Intellectual Property

Our Property

Pleadit, including all code, design, documentation, branding, and trade secrets, is owned exclusively by Pleadit LLC and protected by copyright, patent, trade secret, trademark, and other intellectual property laws. All rights not expressly granted to you in these Terms are reserved by Pleadit LLC.

Your Property

You retain all rights to documents you create, data you enter, and any work product generated using the Software. We claim no ownership over your work.

Patents

One or more features of the Software are protected by one or more pending or issued United States patents. This notice is provided in accordance with 35 U.S.C. § 287.

Feedback and Suggestions

Any ideas, suggestions, feature requests, bug reports, or other feedback you provide regarding the Software (“Feedback”) are provided voluntarily. By submitting Feedback, you irrevocably assign to Pleadit LLC all right, title, and interest in and to such Feedback. Pleadit LLC may use, modify, or incorporate Feedback without restriction, attribution, or compensation to you.

Submitting Feedback does not create any ownership interest, partnership, joint venture, or equity stake in the Software or in Pleadit LLC.

These Terms supersede all prior communications, representations, promises, or understandings, whether oral or written, regarding any Feedback provided to Pleadit LLC. No prior course of dealing, prior beta access, verbal discussion, or other conduct shall create any rights in Feedback inconsistent with these Terms.


Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR RELIABILITY OF COURT FORMS, OR COMPLIANCE WITH ANY SPECIFIC COURT REQUIREMENTS.

Not Legal Advice

Pleadit is a document preparation tool, not a law firm. The Software does not provide legal advice. You are responsible for verifying all document content, ensuring compliance with court rules, confirming form accuracy before filing, and all legal decisions related to your cases.

The auto-populated forms are provided as a convenience. You must review all output for accuracy.


Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR USE OF THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS OR REVENUE, LOST DATA, PROFESSIONAL MALPRACTICE OR LEGAL ERRORS, COURT REJECTIONS OF DOCUMENTS, OR ANY DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the Software, your violation of these Terms, your violation of any third-party rights, or documents you create or file using the Software.


Updates

The Software may automatically download and install updates, including bug fixes, new features, and security patches. By using the Software, you consent to these automatic updates. We reserve the right to discontinue support for older versions.


Termination

You may stop using the Software at any time by canceling your subscription and uninstalling the Software.

We may terminate your license if you violate these Terms, engage in fraudulent activity, share your license key in violation of the license terms, or use the Software for illegal purposes.

Upon termination, your license to use the Software ends. Your local data remains on your computer.


Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. The arbitration provisions of these Terms are governed by the Federal Arbitration Act (9 U.S.C. §§ 1–16).

Before initiating any formal dispute resolution, you agree to contact us at hello@pleadit.app and attempt to resolve the dispute informally for at least sixty (60) calendar days.

If informal resolution fails, any dispute arising from these Terms or your use of the Software shall be resolved through binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures. The arbitration shall be conducted by a single arbitrator. Proceedings shall be conducted remotely by videoconference. If the arbitrator requires an in-person hearing, it shall be held in Santa Clara County, California.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights without first submitting to arbitration. Either party may also bring claims in small claims court if eligible.

You may opt out of binding arbitration within thirty (30) calendar days of first accepting these Terms by sending written notice to hello@pleadit.app. If you opt out, disputes will be resolved in the state or federal courts located in Santa Clara County, California.


Class Action Waiver

YOU AND PLEADIT LLC AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST PLEADIT LLC.

IF ANY COURT OR ARBITRATOR DETERMINES THAT THIS CLASS ACTION WAIVER IS UNENFORCEABLE AS TO A PARTICULAR CLAIM, THEN THAT CLAIM SHALL PROCEED IN A COURT OF COMPETENT JURISDICTION AND SHALL BE SEVERED FROM ANY ARBITRATION.


Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notification. Continued use of the Software after changes constitutes acceptance of the new Terms. If you disagree with changes, you may cancel your subscription.


General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Pleadit LLC with respect to your access to and use of the Software and supersede all prior and contemporaneous understandings, representations, and agreements relating to the Software. No prior access to the Software, beta testing participation, informal communications, verbal representations, or course of conduct shall create any rights, ownership interests, partnership, joint venture, or equity interest in Pleadit LLC or the Software. These Terms do not supersede any separate written agreement duly executed by both you and Pleadit LLC addressing a distinct subject matter.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
  • No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Any successor or assignee of Pleadit LLC shall be bound by the obligations set forth in these Terms.
  • Force Majeure: Pleadit LLC shall not be liable for any failure or delay in performing its obligations under these Terms to the extent caused by circumstances beyond our reasonable control, including failures of third-party service providers, cyberattacks, or changes to operating systems or platform requirements.
  • Survival: The following sections survive termination or expiration of these Terms for any reason: Intellectual Property (including Feedback and Suggestions), Professional Responsibility Acknowledgment, Beta Tester Status, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Disputes, Class Action Waiver, and General Provisions.
